These Challenge Terms (\u201cChallenge Terms\u201d) govern participation in any Beam Challenge, Signature Challenge, or similar competition conducted on or through the Services (each, a \u201cChallenge\u201d). They are Additional Terms under Section 18 of The Beam Terms of Use and are incorporated into the Terms of Use. Capitalized terms not defined here have the meanings in the Terms of Use. By entering, participating in, voting in, or sponsoring a Challenge, you agree to these Challenge Terms. If a Challenge posts its own official rules (\u201cChallenge Brief\u201d), the Challenge Brief governs that Challenge only where it expressly identifies the Challenge-specific term being varied and only to the extent of that conflict. A Challenge Brief may not expand a sponsor\u2019s commercial rights in an entry without a separate signed license with the artist.

1. What a Challenge Is<\/strong>
A Challenge is a merit-based music competition. A sponsoring brand or The Beam publishes a Challenge Brief describing the creative direction, the entry window, the posted license fee(s), the prize(s), and the selection process. Artists submit original tracks responding to the Brief. The Beam community may vote, and the sponsor and\/or The Beam make the final selection. Challenges are contests of skill. Winners are determined by the merit of submissions against the published criteria\u2014including adherence to the Brief, originality, artistry, and fit for the sponsor\u2019s stated use\u2014and not by chance. Community voting, where used, is one input to selection; final selection authority rests with the sponsor and\/or The Beam as stated in the Challenge Brief. Void where prohibited by law.

2. Eligibility<\/strong>
To enter a Challenge you must: (a) be at least 18 years of age and the age of majority in your state of residence. Entrants under 18 are not eligible, and The Beam may require proof of age before awarding any selection or prize; (b) be a legal resident of the United States (or as otherwise stated in the Challenge Brief); (c) hold an Account in good standing; and (d) not be an employee, contractor, or immediate family member of an employee of The Beam or the sponsoring brand. Entries submitted through third parties, generated in violation of the Community Guidelines, or submitted by ineligible persons will be disqualified.

3. Entries and the Clearance Gate<\/strong>
A. Original work.<\/strong> Each entry must be an original track in which you own or control 100% of both the sound recording and the underlying composition, consistent with your representations in Section 5.3 of the Terms of Use.

B. Rights Declaration at submission. <\/strong>Completion of The Beam\u2019s Rights Declaration is a condition of entry. At submission you must disclose any co-writer, co-producer, featured performer, publisher, or beat or production license connected to the track, and provide split sheets, licenses, or publisher confirmations on request. Tracks that do not pass The Beam\u2019s clearance review are ineligible for selection, sponsor use, and prizes, regardless of votes received.

4. Voting and Selection<\/strong>
Where community voting is part of a Challenge, votes must come from real accounts acting on their own behalf. Vote buying, bot activity, incentivized voting outside features The Beam provides, and other manipulation are grounds for disqualification of votes or entrants. The sponsor and\/or The Beam select among eligible entries as described in the Challenge Brief, may decline to select any entry, and may select alternates. Selection decisions are final.

5. Your Commitment If Selected<\/strong>

A. Binding offer.<\/strong> By entering a Challenge, you make a binding offer to enter into the Master Recording and Synchronization License identified in or linked from the Challenge Brief with the sponsor, at the license fee(s) and on the other material terms stated in the Challenge Brief, if your entry is selected. The applicable license form will be included in or linked from the Challenge Brief before the entry window opens. The Beam will not materially modify the posted license fee, term, territory, media, or license form after the entry window opens without the entrant\u2019s consent. Selection does not transfer any commercial rights to a sponsor, and no such rights arise unless and until the applicable license has been executed by all required parties.

B. Execution window.<\/strong> If selected, you must execute the license within ten (10) business days after notice, unless The Beam extends that period in writing. If you do not execute the license within the applicable period, The Beam and the sponsor may withdraw the selection, select an alternate, and withhold any prize expressly conditioned on execution of the license, without further obligation to you.

C. Non-selected entries.<\/strong> If your entry is not selected, no commercial rights in your track pass to any sponsor. Sections 5.4\u20135.6 of the Terms of Use continue to apply to your entry as posted content on the Services; Section 5.7 continues to protect your track from third-party commercial use without a signed agreement.<\/p>\n\n\n\n

6.<\/strong> What Sponsors May and May Not Do<\/strong>

A sponsor may, in its capacity as sponsor of the Services, without a separate license:<\/p>\n\n\n\n
