“DALE’ HEAT CHALLENGE” CONTEST

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN THE CONTEST.  PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR OTHERWISE RESTRICTED BY LAW. 

  1. SUMMARY: The Beam (“Sponsor” or “The Beam”) Dale’ HEAT Challenge (the “Contest”) is a song contest offering emerging amateur U.S.-based music artists the opportunity to submit original tracks (an “Entry” or “Song”) for the opportunity to receive a prize. Selected tracks may be licensed for use by the Heat Group (“The HEAT”), in The HEAT’s sole discretion, for promotional and marketing purposes.  
  2. ELIGIBILITY: The Contest is open to individual musicians (each an “Individual Entrant”) or a musical group, consisting of two or more members(an “Entrant Group”, Individual Entrants and Entrant Groups, each an Entrant), who (and each member of an Entrant Group is a) (i) are legal residents of one of the (50) United States, the District of Columbia, the U.S. Virgin Islands, or Puerto Rico; (ii) are at least eighteen (18) years (or the age of majority in entrant’s jurisdiction of residence) of age at the time of entry; (iii) are not signatories to any union having jurisdiction over the composition and/or recording of the Song; (iv) as of July 15, 2025, and through September 14, 2025,  do not have a recording contract or other binding or non-binding obligation to any third party that would conflict with the rights, or interfere with the Sponsor’s or HEAT’s exercise of the rights, granted herein or otherwise require additional payment or monetary compensation to any third party by Sponsor or Released Parties; and (v) agree to submit to a professionally conducted background check, in Sponsor’s sole discretion, coordinated by Sponsor (the “Background Check”).

Void in all other jurisdictions and where prohibited by law. By participating, Entrants agree to these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to this Contest. If a Song is created by an Entrant Group, each member of the Entrant Group must meet the eligibility criteria and agree to these Official Rules, and the individual member of the Entrant Group whose email is used to submit the Submission (as defined below) will be deemed the Entrant for the purposes of receiving the prize. Employees of The Beam, The Heat Group, and each of their respective subsidiaries, affiliates, advertising and promotion agencies and immediate family members of, and/or those living in the same household of each, are not eligible to enter or be co-writers, co-composers, or co-performers on any Song. 

  In connection with any Background Check, Entrant (and each member of an Entrant Group) agrees to cooperate with Sponsor by providing necessary personal information to verify their identification and for Sponsor to conduct such Background Check.  Such information may include, but is not limited to, Entrant’s full name, date of birth, social security number and current address. An Individual Entrant or Entrant Group may be disqualified from the Contest if any individual Entrant or any member of an Entrant Group has partaken in any activity or act that, in Sponsor’s reasonable judgment, (a) tends to bring the Entrant into public disrepute, contempt, scandal, or ridicule, or tends to shock insult, or offend the majority of the consuming public or any protected class or group; and/or (b) may in any way injure or adversely reflect on the name, goodwill or reputation of Sponsor, its affiliates, or respective products, logos or trademarks, including, without limitation, being arrested, charged with or convicted of substance abuse or DWI, a felony or misdemeanor, a crime of moral turpitude, or fraud (“Negative Acts”).

Entry constitutes each Entrant’s certification that the Entrant (or each member of an Entrant, if a group) meet the eligibility requirements set forth in these Official Rules. The Beam reserves the right to verify and confirm each Entrant’s (and, if Entrant is a group, each group member’s) age and compliance with other eligibility requirements.

  1. TO ENTER: The Contest Period begins at 10:00:01 A.M. Eastern Time (“ET”) on July 15, 2025 and ends at 11:59:59 P.M. ET on August 25, 2025 (the “Contest Period”). The Contest entry period begins at 10:00:01 A.M. Eastern Time (“ET”) on July 15, 2025 and ends at 11:59:59 P.M. ET on August 4, 2025 (the “Contest Entry Period”). To enter the Contest during the Contest Entry Period: 
  2. Upload a video with a synchronized recording of the Song to The Beam platform (the “Platform”)  an embedded link from YouTube or Vimeo. The link must be unlisted or private so as to not be viewable by the public, but access may not be restricted by Sponsor.  Entrant (or a member of Entrant Group) will be required to have an account from YouTube or Vimeo providing such embed and may not set access settings to restricted or private for the entire  Contest Period but also may not be publicly accessible on such website. Such accounts are free to establish.
  1. The Entrant must go to [URL] and create a free Beam Profile on the Platform, which includes their name (or the name of all members of an Entrant Group); the name of the Entrant Group, if applicable; the name of the songwriter or songwriters (such individual(s) must be each meet the Entrant eligibility requirements and shall be deemed Entrants as part of the group); a link (via embed) to a recording of the Entry Song as described above); the composition and name of the composer(s) of the Entry Song (such individual(s) must be each meet the Entrant eligibility requirements and shall be deemed Entrants as part of the Entrant Group); the lyrics of the Entry Song; the music genre of the Entry Song; an e-mail address and zip code for the Entrant (and each member of the Entrant, if a group); the name of the individual who submitted the Song and an e-mail address to contact that individual; a certification that the Entrant (or all members of an Entrant Group) meet the eligibility requirements stated in Section 2 above and agree to the terms of these Official Rules, including that the Entrant (or all members of an Entrant Group, as applicable) will execute a license grant consistent with the rights granted herein, if deemed a Prize Winner (the foregoing collectively, the “Submission”).

Following the foregoing instructions and these Official Rules will afford you one (1) entry into the Contest (“Entry”).  LIMIT: one (1) Submission per person during the Contest Period.  All Submissions must be received before the end of the Contest Entry Period.

All Submissions must comply with the Submission Guidelines set forth below: 

  • MUST be in either the Spanish or English language;
  • MUST be a maximum of four(4) minutes in length;
  • MUST be embedded as a link to a non-restricted access viewable video set to unlisted ton YouTube or Vimeo in any format acceptable to such service;
  • MUST be truthful and be the Entrant’s original work (modification of another work is not an original work by Entrant);
  • MUST comply with Terms of Use, Privacy Policy and other related policies and guidelines in connection with using The Beam Platform;
  • MUST NOT contain material which is (or promote activities which are) sexually explicit, obscene, pornographic, self-mutilating, discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g. illicit drugs, drinking and driving, underage drinking, substance abuse, computer hacking, etc.), inappropriate (e.g., overconsuming alcohol), offensive, threatening, profane, or harassing;
  • MUST contain material suitable for a family-friendly environment; 
  • MUST NOT include any references to or depictions of trademarks, copyrighted materials, logos, images or names of coaches or players (current or retired) associated with the National Basketball Association (NBA) or any of its member teams, including the Miami Heat, or any individual affiliated with any professional sports league, broadcaster, or professional sports player. 
  • MUST NOT disparage basketball, Sponsor, the NBA, the Miami Heat, or any other person or party affiliated with the promotion and administration of the Contest, or such parties’ products or services;
  • MUST NOT include any private information of a third party such as name, address, phone number or email address;
  • MUST NOT contain individuals under 18 years of age; 
  • MUST NOT include mention or performance of any copyrighted media production, including, but not limited to, music, films, books, television programming, etc., or identifying descriptions of any media property, except to the extent that such copyright owner has expressly consented to such use in writing;
  • MUST NOT contain material that violates or infringes another’s rights, including, but not limited to, material that violates privacy, publicity, copyright, trademark, trade secret, trade dress, or other intellectual property rights, or that constitutes copyright infringement. Entries must not include third-party trademarks, logos, insignia, location signage, photographs, artwork, sculptures or music; 
  • MUST be a size and format acceptable on the embed service (YouTube or Vimeo) or Platform;
  • MUST NOT have been submitted previously in a promotion of any kind or have won any awards; 
  • MUST NOT contain any viruses, trojan horses, trap doors, back doors, easter eggs, worms, time bombs, cancelbots or other computer programming routines that are intended to interfere with or cause harm to any website, computer, device, or software;
  • MUST NOT contain material that violates any federal, state, or local laws or ordinances;
  • MUST NOT require Sponsor or any third party to pay any monies or royalties to any Entrant or any third party for use of the Submission in accordance with these Official Rules or as may be licensed; and
  • MUST NOT include any individual who is not an Entrant or a member of the Entrant Group (including, but not limited to celebrities, friends, or other members of the public).

By submitting a Submission, Entrant represents and warrants that the Submission conforms to the Submission Guidelines and agrees that Sponsor may remove any Submission if it believes that Entrant fails to conform to the Submission Requirements. Any attempt by any entrant to obtain more than the stated number of  entries into the Contest by using multiple/different accounts, identities, registrations and logins, or any other methods to submit multiple Submissions, may void all of that entrant’s Entries and that Entrant may be disqualified from the entire Contest. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the Beam Platform account used to enter the Contest will be deemed to be the entrant. The “authorized account holder” is defined as the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the address used to register the Platform account. The Potential Contest Winner may be required to show proof of being the authorized account holder of the Platform account associated with the winning Entry. 

By submitting a Submission, Entrant further represents and warrants :

  1. The Submission, including the musical composition and recording, are Entrant’s original work of authorship and Entrant, or Entrant group, is the sole creator and author of the Submission and all components thereof, including the musical composition.
  2. Entrant has all rights and consents necessary (including from each member of Entrant Group) to submit the Submission, including without limitation, the title or rights in any content, trademarks, artwork, text, and/or music featured in the Submission;
  3. Entrant has the right to grant Sponsor the rights and licenses to use the Submission, including the musical composition, recording, and lyrics as set forth in these Official Rules and in a license to the Submission and/or Song if executed with Sponsor;
  4. Entrant has secured the appropriate rights and licenses from any individual who created or contributed to the Song (including all composers, performers, managers, videographers, producers, engineers and mixers) to (a) submit the Song to the Contest and (b) grant The HEAT the right to use the Submission in accordance with Section 10 (“Grant of Rights”);
  5. The Submission does not contain any sampled recordings; 
  6. there are no limits on the rights of the Entrant (or member of an Entrant, if a group) to enter this Contest; and
  7. no Entrant (or member of an Entrant Group) will enter or has entered into any agreement or assumed any obligation that limits the right or ability of that Entrant (or member of that Entrant, if a group) to participate in the Contest, perform in any Performance related to the Contest, or grant to Sponsor the specified rights and licenses as contemplated herein (including any recording or publishing contract).

Sponsor reserves the right, in its sole discretion, to review all Submissions, either before or after they have been submitted and to edit, reject and/or remove any Submissions, including, without limitation, where it determines a Submission violates these Official Rules and/or the Submission Guidelines, without any notification or warning to the applicable Entrant. Sponsor further reserves the right, in its reasonable discretion, during or upon completion of the Contest Entry Period, to request that any participant resubmit their Submission, which fails to comply with the Submission Guidelines prior to any judging.

  1. WINNER SELECTION AND NOTIFICATION: At the end of the Contest Entry Period, on or around August 4, 2025, Sponsor’s Panel (defined below) will select one (1) winner of the Contest in accordance with the winner selection method described below:

a. Sponsor shall designate a judge or a panel of judges (the “Panel”) to judge the eligible Submissions.  The precise number of judges on the Panel shall be determined at the sole discretion of Sponsor.  The Panel shall be selected by Sponsor in its sole discretion. 

b. The Panel will judge eligible Submissions based on the following equally weighted criteria of Creativity: 40%; Cultural Relevance: 25%; Energy: 25%; and Production Quality of Submission: 10%. 

c. The Submission with the highest score amongst all criteria will be deemed the potential contest winner (“Potential Contest Winner”). 

Decisions of the Sponsor and Panel are final and binding in all respects. In the event of a tie as to a potential Contest winner, the Panel will select the entry with the highest score for Creativity, as determined by the Panel in their sole discretion, as the potential Contest winner from among the tied entrants.  In the event a tie still remains, Sponsor will appoint a new judge, who will adjudicate the tied submissions in order to break the tie.

AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE CONTEST SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY AND COMPLIANCE WITH THE OFFICIAL RULES HAVE BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.  Sponsor will notify the Potential Contest Winner on or around the August 26, 2025 by e-mail (via the e-mail address associated with the profile used to submit the Submission on the Platform). The Potential Contest Winner may be subject to verification of eligibility and may be required to sign and return an Affidavit of Eligibility/Release of Liability/Prize Acceptance Form (“Release”) within the designated time period after notification. If the Potential Contest Winner cannot be reached (regardless of reason), does not respond within the designated time of forty-eight (48) hours from the time of notification, or there is a return of any prize/prize notification as undeliverable, Entrant or Entrant Group may be disqualified and an alternate potential winner may be selected using the winner selection method stated above. Upon disqualification, no further compensation will be given. Failure to comply with any term or condition in these Official Rules may result in disqualification at Sponsor’s sole discretion. In the event that the Potential Contest Winner is disqualified for any reason, an alternate potential contest winner may be selected in accordance with the winner selection method stated above from the remaining eligible Submissions. Sponsor may limit the number of attempts to award a prize to two (2) attempts during designated time of one (1) week. In such case, if a prize winner cannot be confirmed after two (2) attempts, the prize will remain unawarded. 

Upon request by Sponsor, the Potential Contest Winner also agrees to execute a license with Sponsor in connection with the Submission, granting Sponsor and anyone authorized by Sponsor to record, re-record, transcribe, broadcast, synchronize, publicly perform, telecast and otherwise use the composition submitted in the Submission, and to broadcast, synchronize, publicly perform, telecast and otherwise use any master recording and/or composition in the Submission, including the lyrics thereto, in whole or in part, for any purpose without limitation, including any number of edits, lifts, and versions thereof, by whatever method made, in any media, now known or hereinafter invented, at any time.

Potential Contest Winner must be able to provide, within three (3) business days of request by a Sponsor, all appropriate clearances, permissions, and releases necessary or reasonably requested for the Submission to be made publicly available and used by Sponsor or anyone authorized by Sponsor in any media and for any purpose, including signed releases and licenses from the Entrant (including all members of the Entrant Group), songwriters, composers, musicians, the videographer and any other creative personnel who participated in creating any video for the Submission. Entrant’s failure to timely provide such clearances, permissions and releases may lead to disqualification of the Entrant and their entry, in Sponsor’s sole discretion, and forfeiture of their rights and interest in the prizes.

  1. PRIZE & APPROXIMATE RETAIL VALUES: One (1) Five thousand USD ($5,000) licensing fee (the “Prize”) and the opportunity to license the Song to Sponsor upon Sponsor’s request.  The prize will be sent to the verified winner through the payment details they provide. If Winner is an Entrant Group, the individual designated as the Platform account owner is solely responsible for any division of prize between members. Sponsor is not responsible for disbursement of Prize among Entrant Group members. The Miami Heat is under no obligation to use the Song, for any purpose, and reserves the right withhold its use, at its sole discretion, even if a license has been granted to the Winner. The value of the Prizes will be taxable to each applicable Winner as income. All federal, state and local taxes and any other costs and expenses associated with the acceptance and/or use of Prize not specifically provided for in these Official Rules are solely each Winner’s responsibility.  Each Winner is solely responsible for reporting and paying any and all applicable taxes as required by the applicable jurisdiction in which the Winner resides. Value of the Prize awarded may be reported for tax purposes where required by law and Entrant may be required to provide information for tax reporting purposes. Prize is non-transferable.
  2. PRIZE RESTRICTIONS AND DELIVERY: Winner may make no substitution or transfer of Prize, except at Sponsor’s sole discretion. Winner agrees that the Prize is personal to that winner, and the Prize may not be sold, resold, auctioned, bartered, assigned, exchanged, placed in commerce, transferred, given away, donated, or otherwise conveyed. All federal, state and local taxes are the sole responsibility of Winner. Prize consists of only those items specifically stated as part of the Prize. ALL EXPENSES AND COSTS ASSOCIATED WITH THE ACCEPTANCE OR USE OF THE PRIZE THAT ARE NOT EXPRESSLY SPECIFIED IN THESE OFFICIAL RULES AS BEING PART OF THE PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNER. If required by law, the Winner will be issued a 1099 tax form for the Prize value. 
  3. PUBLICITY: Acceptance of a Prize constitutes Winner’s permission, or permission from each member of the winning Entrant Group, to the Sponsor, the Heat Group, and each of their agents to use the Winner’s name and/or likenesses, Platform username and/or profile photo, Prize information, photograph, voice, and comments for purposes of advertising and trade without further notice, permission, or compensation, unless prohibited by law.
  4. GRANT OF RIGHTS: In consideration of an Entrant’s Submission being reviewed and evaluated for this Contest, each Entrant (and all members of an Entrant, if a group) hereby grants to Sponsor and its affiliates, a limited, non-exclusive, fully paid, royalty-free right and license to use, reproduce, display, and perform the Submission solely for purposes of administration of the Contest, judging, and winner selection, including but not limited to, internal review, internal promotional review, and verifying eligibility.

This limited license applies only for the duration of the Contest and any reasonable wrap-up period thereafter and does not grant the Sponsor any ongoing marketing, advertising, or commercial use rights beyond those necessary to operate and administer the Contest itself.

Upon selection as a Winner, the winning Entrant or Entrant Group will enter into a separate license agreement with Sponsor specifying the scope of any further usage rights, including synchronization, mechanical, public performance, or other rights required for the marketing, promotional, or commercial exploitation of the winning Submission.

Entrants acknowledge that their name, image, voice, and other likeness, and basic biographical information may be used by Sponsor, The Heat Group, and their affiliates during the Contest Period to identify them as participants or potential winners, but no other rights to distribute or publicly display Entrant’s Submission shall be granted except as explicitly described herein or in a subsequent agreement with the Winner.

  1. ENTRANT’S REPRESENTATIONS AND WARRANTIES; ASSIGNMENT OF RIGHTS: Each Entrant, and each member of Entrant Group, warrants and represents that: (i) such Entrant is over eighteen (18) years of age (or the applicable minimum age of majority in the jurisdiction in which such entrant resides) and has the right and power to enter into the Contest and grant the rights granted hereunder; (ii) such Entrant is not signed to any exclusive agreement or representation agreement, and their entry into the Contest,  winning of any Prize, or licensing of the Submission or any portion thereof does not and will not violate the terms of any exclusive agreement to which they are a party or require any further compensation or payments by Sponsor or anyone authorized by Sponsor.  Further, such Entrant, and each member of Entrant, if a group, warrants and represents that (i) their Submission does not infringe upon the copyrights, trademarks, or other intellectual property or other rights of any person or entity; and (ii) the use and exploitation of such Submission via any and all media (including web posting) will not infringe the rights of any third party. 
  2. LIMITATION OF LIABILITY; INDEMNIFICATION; RELEASE : By participating in this Contest, entrants agree to be bound by the Official Rules and the decisions of Sponsor. By accepting a Prize, Winner agrees to indemnify, defend, and hold harmless Sponsor, prize provider, The Heat Group, each of their parent companies, affiliates, subsidiaries, promotional partners, and agents, and all others associated with the development and execution of this Contest, and the officers, directors, and employees of each of the foregoing (collectively, the “Sponsor Parties”) against any and all fees,  royalties, costs, damages, liability, and expenses (including reasonable attorneys’ fees) arising out of or in connection any claims, lawsuits, complaints, actions, cause of action, damages and/or liabilities (“Claims”) in connection with: (a) use of or misuse of the Prize; (b) any actual or alleged breach of Entrant’s, or any member of an Entrant group’s, representations and warranties within this Agreement; (c) use of the Submission, including but not limited to claims based on rights of privacy, rights of publicity, false light, defamation, copyright, and/or trademark infringement relating to the submission or exploitation of Entrant’s Entry, including the musical composition; (d) Entrant’s Submission; and (e) Entrant’s participation in the Contest. Winner assumes all liability for any injury or damage caused, or claimed to be caused by participation in this Contest or use or redemption of any Prize. By entering, each entrant agrees to release and hold harmless Sponsor Parties, from and against any and all Claims for any injuries or death, loss or damage of any kind arising from or in connection with participation in and/or entry into the Contest or acceptance or use of any Prize or and for any Claims based on publicity rights, defamation, invasion of privacy and infringement.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE (I) THE PARTICIPATING PARTIES SHALL NOT BE RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGE, INCLUDING WITHOUT LIMITATION FOR ANY PERSONAL INJURIES, DEATH, PROPERTY LOSS ARISING OUT OF OR CONNECTED WITH (A) THE CONTEST, (II) THE CONTEST PRIZE, AND (III) YOUR REMEDIES FOR ANY CLAIMS RELATING TO THE CONTEST ARE LIMITED TO YOUR ACTUAL OUT-OF-POCKET EXPENSES OF PARTICIPATION IN THE CONTEST (IF ANY), BUT IN NO CASE MORE THAN $500.

If an Entrant is a California resident, such Entrant hereby waives California Civil Code Section 1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

  1. DISPUTES: Except where prohibited, all Entrants agree that: (1) any and all disputes, claims and causes of action arising out of or connected with the Contest or any Prize awarded shall be resolved individually, without resort to any form of class action, and, if not subject to arbitration as set forth below) shall be resolved exclusively by the courts in Miami, Florida; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys’ fees; and (3) under no circumstances will entrants be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Any disputes, claims, or controversies arising out of or related to this competition, these Official Rules, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by confidential arbitration in a remote setting. The arbitration shall be conducted in accordance with the rules of JAMS. 

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. 

  1. APPLICABLE LAW: These Official Rules are governed by the laws of the State of Florida, United States of America, without giving effect to conflicts of law rules.  If any of the provisions of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. To the extent permitted by applicable law, participants waive their right to litigate, seek injunctive relief or make any other recourse to judicial procedures in case of disputes or claims resulting from or in connection with the Promotion, including waiver of right to jury trial.
  2. GENERAL CONDITIONS: Released Parties are not responsible for any typographical or other error in the printing, the offering or the announcement of any Prize or in the administration of the Contest. The Released Parties will not be responsible for (i) incomplete, incorrect, inaccurate, undecipherable, corrupted, unintelligible, lost, late, damaged, misdirected or mutilated, or inaccessible Submissions; (ii) misdirected or faulty text messages, e-mail messages, or other communication; (iii) for any technical problems, malfunction or failure of any computer, telephone, mobile device, network, satellite, communications line, hardware and/or software,  including but not limited to any error, omission, interruption, defect or delay in operation or transmission at any website or platform; (iv) damage to any device or computer (software or hardware) resulting from participation in the Contest; (v) theft or destruction of, tampering with, unauthorized access to, or alteration of Submissions and/or Entry information; (vi) unauthorized human intervention; (vii) incorrect, delayed or inaccurate transmission, notifications, announcements, claims to the Contests Prizes or other benefit, or other information or communications relating to the Contest, or the failure to capture or transmit any such information; (viii) any human or other error that may occur in the processing of the Submissions; (ix) any error, omission, interruption, deletion, defect, or delay in operation or transmission, theft or destruction or unauthorized access to or alteration of Submissions; (x) technical, network, telephone, computer hardware or software malfunctions of any kind, or inaccurate transmission of, or failure to receive any Submission information on account of technical problems or failures of any wireless or internet service providers, traffic congestion on the Internet or at any website or any combination thereof, which may limit a person’s ability to participate in the Contest or receive communications from Sponsor; or (xi) undeliverable messages resulting from filtration of an Entrant’s wireless or Internet service provider or for insufficient space to receive messages. Incomplete/illegible Submissions, or Submissions that are inaccessible, or are not embedded properly or using a suitable embedding platform are void. 

The use of third-party software, robotic, programmed,  automated entry systems, or like methods of participation to participate is prohibited, and Sponsor reserves the right to disqualify any Entries made in such fashion.  In the event of dispute as to who submitted an online enrollment, the Entry will be deemed submitted by the authorized account holder of the email address submitted at the time of entry.  Additional restrictions may apply.

These Official Rules are final and binding in all respects and are subject to all federal, state and local laws and regulations.  Sponsor reserves the right, at its sole discretion, to cancel, modify or suspend the Contest or any portion hereof, or to disqualify any entrant implicated in any of the following actions, if for any reason: (a) infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrant and/or any fraud, technical failures, or any other causes which, in Sponsor’s sole opinion, corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, (b) the Contest or any website associated therewith (or any portion thereof) becomes corrupted or does not allow the proper processing of Entries, or (c) the Contest is otherwise not capable of running as planned by Sponsor. If the Contest is canceled, Sponsor will award the applicable Prize from among all eligible Entries received as of the time of cancellation in accordance with the winner selection method described above, and Sponsor shall have no further obligation to any entrant in connection with the Contest. Only the advertised number of prizes are available to be won in this Contest.

ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST, INCLUDING BUT NOT LIMITED TO HARASSMENT, CHEATING, DECEPTION, OR OTHER UNFAIR PARTICIPATION PRACTICES,  IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, RELEASED PARTIES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THIS CONTEST IS INTENDED FOR PARTICIPATION IN THE UNITED STATES ONLY AND SHALL BE CONSTRUED ONLY ACCORDING TO UNITED STATES LAW. 

The Sponsor Parties are express third-party beneficiaries of these Official Rules.

Each Entrant agrees and acknowledges that participation in the Contest, including, without limitation, the Entrant’s decision to provide the Entrant’s Submission to Sponsor for purposes of the Contest will not give rise to any confidential, fiduciary, implied-in-fact, implied-in-law, or other special relationship between Sponsor and Entrant, including any talent agency or management relationship.

Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced

This Contest is in no way sponsored, endorsed or administered by, or associated with any music-streaming service providing music links and embeds. Any questions, comments or complaints regarding this Contest should be directed to Sponsor and not any music-streaming service. Each Entrant further agrees to release any music-streaming service e from any and all liability associated with this Contest or receipt or use of any prizes.

  1. PRIVACY: All information submitted to Sponsor as part of a Contest will be treated in accordance with The Beam’s Privacy Policy: https://thebeam.com/corporate/privacy-policy/ and the Miami Heat’s Privacy Policy https://www.nba.com/privacy-policy, and these Official Rules. In the event of any discrepancy between the privacy policy and these Official Rules, the privacy policy shall control and govern.

Each Entrant agrees that Sponsor may share information submitted by Entrant with other partners, vendors, service providers, third parties, or any other person or entity for any purpose relating to the Contest, its promotion, the coordination of live events based on the Contest, or the exercise of Sponsor’s rights contemplated in these Official Rules.
